OpriyaTrending may also retain your Customer Information where we need to use it for our business and related purposes, including but not limited to responding to questions or complaints, combating fraud and financial crime, or pursuing contractual obligations.
If we are no longer required to retain Customer Information, we make best efforts to destroy or delete such Customer Information in accordance with our internal policies.

Customer is required to cooperate with OpriyaTrending in ensuring the security of Customer Information and it is recommended that Customer choose their password carefully so that no unauthorized access is made by third parties. To make the password complex and difficult for others to guess, Customer should use a combination of letters, numbers and special characters (such as !, @, #, $, etc.). Customer should not disclose their password to anyone or keep any written or other record of the password so that third parties can access it.

* Cancellation Policy
Before processing any refund, we try to complete the service to the best of our ability. In case of dissatisfaction, a 20% cancellation fee will be deducted. In case of change of service, no cancellation fee will be applicable.
Refunds will be subject to a minimum of 20% cancellation fee. In addition, any charges levied by Opriya Trending PVT LTD for completing the service will be deducted at the discretion of the company.
The refund amount will not exceed 80% of the total fees paid by the client.

Customers can request a service change after 30 days of purchase.

* Requesting a Refund
To initiate a refund request, log in to your OpriyaTrending account and select “Live Chat” to begin the process. Alternatively, send an email to hello@opriyatrending.in with transaction details.
Refunds are typically processed within 3-5 weeks of the request, provided all necessary information is provided.

3) Apply our Incorporation, Startup and Registration Service Terms and Conditions
> For bank account or pay services, your name, phone number and email will be shared with your consent. Banks reserve the right to open or reject your request as per their policy.
> If you wish to register a partnership with the respective state registrar offer, an additional fee will be charged and the family will be informed.
> Up to 4 options can be given in the RUN name request.
> Authorised capital is the total number of shares that a company can issue at any time, which can be further increased. Paid-up capital is the amount of shareholder equity, which can be Rs.2.
> Statutory auditor fees are directly appointed by the board of directors. All public limited companies are required to appoint an independent statutory auditor of their choice within 30 days of their incorporation.
> OpriyaT Rendering 2 supports DSC () Protocol and KYC and DSC Shipping. As per CCA guidelines dated 15 July 2024, DSC application and KYC certificate will have to be paid.
> Authorized capital can be purchased on its own if required. Additional authorized capital expenditure can be provided upon request.
> Customers are required to register by paying stamp duty, which depends on the status of the corporation and the company’s capital. > Stamp duty details based on state and capital category will be provided:
Please note that stamp duty is based on the latest regulations and is subject to change. Customers are advised to confirm the current rates at the time of incorporation.

4) Terms and conditions apply to our intellectual property services such as trademarks, patents and copyrights. and other services
> Prices Unless otherwise stated, prices are for one class. Additional fees will be charged for any additional classes.
> OpriyaTrending or its employees do not make any recommendations regarding names for trademark filing and cannot guarantee availability or registration.
> It shall be the Client’s responsibility to confirm the accuracy of the information provided in the trademark form. OpriyaTrending disclaims all liability in respect of incomplete or false information.
> OpriyaTrending shall not be liable for any objections, rejections, oppositions or other issues that may arise during the trademark registration process. Client acknowledges that such matters are beyond OpriyaTrending’s control.
> OpriyaTrending cannot guarantee that the trademark will be accepted or registered by the Trademark Office and/or through the objection response process. Acceptance and registration of a trademark is subject to the discretion and approval of the Trademark Office. > OpriyaTrending will use reasonable efforts to assist the Client throughout the process, but final approval is not guaranteed.
> The Client is responsible for tracking the status of their trademark application on the IP INDIA portal. OpriyaTrending may provide assistance or guidance upon request.
> OpriyaTrending cannot be held responsible for any other issues that arise during the show cause hearing or objection process. The Client acknowledges that such matters are beyond the control of OpriyaTrending.
> OpriyaTrending will maintain the confidentiality of Client data unless compelled to do so by a court, administrative agency or other government body.

5) The following terms and conditions apply to Tax and Compliance Services
> OpriyaTrending Private Limited will provide services based on the package taken by the client. Invoices will be issued from time to time.
> The final cost of the services provided will depend on the Goods and Services Tax (GST) scheme chosen by the client with the relevant tax authorities.
> A separate fee will be charged for CA verification of Income Tax Return.
> The client is responsible for checking the accuracy, reliability and completeness of all information in the return/filing as well as accounting records and details before approving and signing.
> The client is also obligated to disclose all materials and related information.
> OpriyaTrending will not be responsible for any issues arising out of incorrect or incomplete information provided by the client.
> All data provided by the client will be kept confidential by OpriyaTrending and will not be disclosed to third parties without your consent, unless mandated by law, court order or professional obligation.
> If you allow us to disclose your confidential information under certain circumstances or to impose conditions on such disclosures, we will comply with the permitted disclosures in providing our services, unless you instruct us otherwise in writing.
> The Client shall be responsible for paying all government fees, fines, statutory audit fees and taxes related to the engagement on real persons. OpriyaTrending Accountants shall be solely responsible for preparing accounting records and statutory returns.
> The Client shall be required to provide reasonable access to relevant persons and documents and shall be responsible for the completeness and accuracy of the information provided to us.
> Any advice given is based on an opinion formed with an understanding of the Client’s specific circumstances.
> The Client shall be aware of the due dates and compliance requirements under various laws, statutes, rules and regulations. The Client is solely responsible for complying with all applicable legal compliances and shall be liable for any fines or damages incurred as a result of non-compliance with any applicable laws, statutes, rules and regulations.
> The cost of filing GST returns, TDS, ITR returns and PF returns is applicable for businesses with turnover up to Rs 25 lakh and 25 employees. Additional charges will be levied for businesses exceeding this limit.
* Additional Terms for Partnership Compliance / Company Compliance / LLP Compliance and Other Companies:
> Package prices are applicable for businesses with turnover up to INR 25 lakhs, after which an additional fee is charged for every INR 25 lakhs of turnover. It should be noted that the cost of compliance filings can vary based on the size and complexity of the business.
> For customers availing Tax & HR Assist package, the price will be applicable for 5 employees. For more than 5 employees, an additional fee will be charged for each employee.
> TDS payment prices are charged on a quarterly basis.
> ESI, PT, PF prices are charged on a monthly basis.
> In these packages, prices are applicable for 100 invoices in a month. Bulk import duty is applicable for every 500 invoices.
> Service Credits are a form of credit provided to preferred, prominent or loyal customers who are part of OpriyaTrending and are availing services from OpriyaTrending.
> Service credits provided by OpriyaTrending are non-refundable. Credits can only be used for OpriyaTrending services. Service credits can only be used for the business against which it is received and are therefore non-transferable.
> Startups paying INR 19899 to manage company compliance will be eligible for INR 5000 service credit.
* Additional Conditions for Winding Up – Company / LLP:
> A company which has not commenced its business within one year of its incorporation or has not carried on any business or operation for two consecutive financial years without applying for dormant status under Section 455 and has no recorded transactions, revenue, assets or liabilities during this dormant period is eligible for strike-off.
> A company which has been issued STK-1 or STK-5 notice must complete all compliance requirements before filing STK-2. Commencement of business is a pre-requisite for applying for STK-2. All the directors should unanimously remove the name of the company from the Registrar of Companies and sign all relevant documents.
> Furthermore, the DIN eKYC and DSC of the directors should remain active till the e-filing status of the company is updated to “Processing Under Strike Off”.
> A company should not close its current account if it is expecting to get refund, chargeback or subsidy. The winding-up process can be initiated after all the receivables are credited to the said current account to avoid any financial loss. After receipt of this acknowledgement, the account can be closed and winding up can be initiated.
> The closure of the current account, as well as cancellation of commercial tax, import export code, trademark and ESI and PF registered in the name of the company, needs to be executed by the authorized director through offline process with the concerned institutions.
> A company is ineligible for strike-off if it has changed its name or shifted its registered office to another state, disposed of assets or rights (subject to conditions) or is engaged in any activity which is necessary or relevant for the application under the relevant provisions. Further, a company cannot be struck off if it has filed an application with the Tribunal for compromise or arrangement and no agreement has been reached on it yet, or if it has been wound up under Chapter XX, voluntarily, by the Tribunal, or under the Insolvency and Bankruptcy Code (IBC), 2016.
> Form STK-2 for winding up is not applicable to Section-8 companies, fund companies, subsidiaries or public limited companies.
OpriyaTrending does not take any responsibility for rejection of STK-2 filing if the client instructs to file without fulfilling the required eligibility criteria.
> Additional charges will be applicable if the bank account statement transaction exceeds 100 entries.
> Government fee of Rs. 10,000, stamp paper, notary services and any applicable taxes and penalties will be borne by the client.
> In case of LLP, the client is liable for additional government fee of Rs. 1,000.
> The prices listed for LLP are applicable only to LLPs which do not have any assets or liabilities.
Separate forms have to be filed with the Ministry of Corporate Affairs (MCA) to update the registered office address or email ID and to add or remove partners, additional charges are applicable.
> LLPs are required to file Form-3 within 30 days of incorporation. Failure to meet this deadline will attract a penalty which needs to be settled before submitting FORM-24 to the Ministry of Corporate Affairs (MCA) for winding up the LLP.

6) The following terms and conditions apply to refunds and cancellations
At OpriyaTrending, we take pride in the services we provide and guarantee your satisfaction with our service and support. However, if you are not satisfied with our services, please contact us immediately and we will rectify the situation, issue a refund or issue a credit that can be used towards future OpriyaTrending orders.

If you are not satisfied with the service, simply log in to the iCFO portal and create a ticket for engagement to initiate the refund process. All help tickets are reviewed by members of senior management and responded to personally within 24-48 hours.

* Refund Policy
OpriyaTrending Private Limited’s service obligations are considered fulfilled once access to our platform is granted. All subsequent obligations and the final outcome of the service are the sole responsibility of the client. It is the client’s responsibility to ensure accuracy and precision. Therefore, OpriyaTrending will not pay any penalty or tax on behalf of its clients. Further, OpriyaTrending is not responsible or liable for any other expenses incurred by the client in connection with the completion of the service or the final outcome of the service.
Refunds are subject to a 20% cancellation fee.

* Refund Request Process
A refund request can be initiated through the iCFO platform after signing in. To request a refund, please request a refund in the relevant chat room with the relevant engagement manager. All refund requests must be made within 60 days of purchase. Refund requests beyond 60 days will not be accepted and only credit will be provided for the completion of the service / replacement of the service. We will process your refund request after receiving all the information required for the refund process such as the reason for the refund, bank details to process the request, etc.

* Service Exchange
If you wish to exchange the service you ordered for a different one, you must request this service exchange within 7 days of your purchase.

* Standard Pricing
OpriyaTrending has a standard pricing policy in which no additional service charges are requested under any circumstances. However, any increase in fees charged by the client for completing government fees or legal documents or for re-filling forms due to rejection or re-submission shall not result in OpriyaTrending increasing the total fees paid by the client under the standard pricing policy. OpriyaTrending is not responsible or liable for any other costs incurred by the client in connection with the completion of the service.

* Factors beyond our control
We cannot guarantee the results or outcome of your specific processing. For example, the government may reject a trademark application for legal reasons outside the scope of OpriyaTrending services. In some cases, government backlogs or issues on government platforms (e.g. MCA website, Income Tax website, FSSAI website) may cause long delays before your processing is completed. Similarly, OpriyaTrending does not guarantee the results or outcome of services provided by our associates on the Nearest.Expert platform that are not scheduled by Nearest.Expert. Such issues are beyond our control and are not covered by this guarantee or refund eligibility. Therefore, delays in processing your file by the government cannot be a reason for a refund.

* Force Majeure
OpriyaTrending shall not be deemed to be in breach of its Satisfaction Guarantee Policy or in default of any of its Terms of Service and shall not be liable to the Client for any termination, interruption or delay in performance of its obligations arising from earthquake, flood, fire, storm, lightning, landslide, natural disaster. Hurricane, storm, flood, fire, hurricane, lightning, act of God or public enemy, epidemic, famine or plague, action of a court or public authority, change of law, explosion, war, terrorism, armed conflict, labor strike, lockout, boycott or similar event beyond our reasonable control, even “foreseeable or unforeseeable” (even)

* Cancellation Fees
Since we dedicate time, manpower, technology resources and effort to create your Service or document, our guarantee covers only satisfaction issues arising from OpriyaTrending – not a change in your circumstances or your state of mind. If you require us to process the Service, we will hold the fees paid on your account until you are ready to start the Service.
