Goods and Services Tax (GST) is applicable to our fees. A GST e-invoice and input tax credit will be provided if a valid GSTIN is submitted at the time of payment. It is the client’s responsibility to ensure that the correct GSTIN is submitted to receive the input tax credit.

Any additional government fees related to incorporation, licensing, or trademark services—where applicable—will be clearly stated in advance, collected accordingly, and subsequently remitted to the respective government authority.

Engaging in any activity that disrupts or interferes with our resources, including the servers and/or networks where our resources are hosted or connected, is strictly prohibited.

Attempting to copy, duplicate, reproduce, sell, trade, or resell our resources is strictly prohibited.

You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, and such activities may result in criminal or civil liability.

We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, social media services, etc. You understand that we generally do not pre-screen or monitor user-submitted content via these communication tools. However, any content you post using open communication tools (provided it does not violate third-party rights) becomes the property of www.opriyatrending.in and grants us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, translate, publish, display, and/or distribute it as we see fit. You agree to indemnify and hold harmless www.opriyatrending.in, a digital property of Opriya Trending Private Limited, along with its parent company, affiliates, directors, officers, employees, agents, and licensors, from and against all losses, expenses, damages, and costs—including reasonable attorney fees—resulting from any violation of this User Agreement or failure to fulfill any obligations related to your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification, and in such a case, you agree to fully cooperate with us as reasonably requested.

Limitation of Warranties

By using our website, you understand and agree that all resources we provide are offered “as is” and “as available.” This means we do not make any warranties or representations that the services or products will meet your needs, be uninterrupted, timely, secure, or error-free.


Limitation of Liability

In line with the above Limitation of Warranties, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for the use of our products and/or services.

CANCELLATION AND REFUND

Cancellation of an order is not allowed once payment has been made.
Refunds will only be issued in the case of cancellation or non-performance of service by Opriya Trending Private Limited.

UNLESS OTHERWISE STATED, www.opriyatrending.in EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITYFITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

📄 Incorporation, Startup & Registration – Terms and Conditions

By availing incorporation, startup, or registration-related services from Opriya Trending Pvt. Ltd., you agree to the following terms and conditions:


1. Sharing of Customer Information

To process services such as bank account opening or payment gateway integration, your name, phone number, and email address may be shared with third parties only with your consent.

Note: Final approval of any application (e.g., bank account) is at the sole discretion of the respective institution, and Opriya Trending is not liable for rejections.


2. Partnership Firm Registration

If you opt to register a partnership firm under the State Registrar’s jurisdiction, additional government and professional charges may apply. You and your family (if involved in the firm) will be notified of such requirements in advance.


3. Company Name Reservation (RUN Application)

During the RUN (Reserve Unique Name) process:

  • You may propose up to 4 name options for approval.
  • Approval is subject to availability and MCA (Ministry of Corporate Affairs) guidelines.

4. Authorized and Paid-up Capital

  • Authorized Capital is the maximum share capital a company is legally allowed to issue. It can be increased later, subject to regulatory filing.
  • Paid-up Capital refers to the actual capital invested by shareholders. The minimum can be ₹2 as per Indian company law.

You may purchase additional authorized capital at the time of incorporation or request an upgrade later. Charges for capital increase apply separately.


5. Statutory Auditor Appointment

  • As per regulatory requirements, every Public Limited Company must appoint a Statutory Auditor within 30 days of incorporation.
  • The appointment must be made by the Board of Directors and should be independent of the promoters.

Auditor fees are payable directly to the appointed professional and are not included in incorporation package charges.


6. Digital Signature Certificate (DSC) & KYC

Opriya Trending supports DSC protocol and KYC submission as per CCA Guidelines dated 15 July 2024. Charges apply for:

  • DSC application
  • KYC certification
  • Courier/Shipping of DSC token, if applicable

Customers must comply with all identification and verification protocols for digital signatures.


7. Stamp Duty Charges

Customers are responsible for payment of stamp duty, which is based on:

  • The state of registration
  • The type and capital structure of the company

Important: Stamp duty amounts are governed by the latest state-specific laws and may vary without prior notice. Opriya Trending will provide updated estimates during the registration process, but customers are advised to verify final rates at the time of incorporation.

📘 Terms and Conditions – Intellectual Property Services

(Applicable to Trademark, Patent, Copyright, and Other Related Filings)

By engaging Opriya Trending Pvt. Ltd. for intellectual property (IP) services, including trademarks, patents, copyrights, or related filings, you agree to the following terms and conditions:


1. Pricing and Class Limitation

Unless otherwise specified, quoted prices apply to a single class only.
If you require registration under multiple classesadditional government and professional fees will apply.


2. Trademark Name Availability & Filing

  • OpriyaTrending or its employees do not suggest or guarantee the availability of any name for trademark registration.
  • We do not provide name recommendations and are not liable for any refusal or rejection based on name similarity or existing marks.
  • It is the Client’s sole responsibility to ensure that the information provided in the trademark application is accurate and complete.
  • OpriyaTrending disclaims liability for any errors, omissions, or inaccuracies in the data submitted by the client.

  • The Trademark Office has sole discretion over acceptance, objection, opposition, or rejection of a trademark.
  • OpriyaTrending cannot guarantee approval or registration, even after objection responses are filed.
  • The client acknowledges that objections, show cause hearings, and third-party oppositions are part of the legal process and are beyond OpriyaTrending’s control.

We will make reasonable efforts to support and guide clients through each stage of the process, but final decisions rest with the authorities.


4. Monitoring Application Status

  • It is the Client’s responsibility to track the progress of their trademark, patent, or copyright application via the official IP India portal or other government platforms.
  • OpriyaTrending may provide status updates or assist upon request but is not obligated to monitor applications on your behalf.

  • OpriyaTrending shall not be held liable for outcomes or issues arising during:
    • Show Cause Hearings
    • Examiner Objections
    • Third-party Oppositions
    • Delays or rejections by government authorities

Such matters are subject to the policies and judgment of the Intellectual Property Office, over which we have no influence or control.


6. Confidentiality

OpriyaTrending respects your privacy and will maintain the confidentiality of all client data and documents shared during the engagement.
However, disclosure may occur if required by law, such as through a court order or directive from a regulatory/government authority.

📑 Terms and Conditions – Tax and Compliance Services

(Applicable to GST, Income Tax, TDS, PF, ESI, ROC, and Other Regulatory Filings)

By availing tax, accounting, or compliance services from Opriya Trending Pvt. Ltd., you agree to the following terms and conditions:


1. Scope of Services and Pricing

  • Services are delivered based on the specific package selected by the client.
  • Invoices will be issued periodically depending on service usage and deliverables.
  • Final pricing may vary based on the GST scheme (Regular/Composition) selected by the client and their turnover.
  • Separate charges apply for Chartered Accountant (CA) verification of Income Tax Returns (ITR).

2. Responsibilities of the Client

  • The accuracy, completeness, and reliability of the information submitted for filings (GST, ITR, TDS, PF, etc.) is solely the responsibility of the client.
  • Clients must disclose all relevant financial and operational information for proper compliance.
  • OpriyaTrending shall not be held responsible for delays, penalties, or errors resulting from incomplete, incorrect, or missing information.

3. Confidentiality

  • All client data will be kept confidential and will not be disclosed to third parties without prior written consent, unless required by:
    • A legal mandate
    • Court order
    • Government/regulatory obligation
  • If the client allows conditional disclosure of sensitive information, OpriyaTrending will act accordingly unless instructed otherwise in writing.

4. Government Fees and Statutory Dues

  • The client shall bear all government charges, fines, penalties, audit fees, and taxes applicable to their business or personal filings.
  • OpriyaTrending is responsible for preparing and submitting statutory records but does not cover government-imposed fees.

5. Access and Collaboration

  • The client must provide reasonable access to documents and stakeholders to facilitate service delivery.
  • Clients are expected to cooperate with internal deadlines to ensure timely submissions.

  • Any advisory or consultation is based on facts shared by the client and prevailing laws at the time.
  • Clients are solely responsible for complying with deadlines and legal requirements under various laws and will be liable for penalties resulting from non-compliance.

📘 Service Limitations Based on Business Size

  • Compliance packages apply to businesses with:
    • Turnover up to ₹25 lakh
    • Up to 25 employees
  • Additional fees will be levied:
    • For every ₹25 lakh increase in turnover
    • For each employee beyond the initial 25
  • For Tax & HR Assist Packages, base pricing includes up to 5 employees, with extra charges per additional employee.

Filing & Processing Charges

  • TDS payments: Charged quarterly
  • ESI, PF, Professional Tax (PT): Charged monthly
  • Pricing includes up to 100 invoices/month; bulk import fees apply for every 500 invoices beyond that

Service Credits Policy

  • Service credits are a non-refundable loyalty benefit offered to select customers.
  • Credits can only be used:
    • For OpriyaTrending services
    • Within the same business account
  • They cannot be transferred or exchanged for cash.

Example: Startups opting for our compliance package worth ₹19,899 will receive ₹5,000 in service credits for future services.


⚖️ Additional Terms – Partnership / LLP / Company Compliance

  • All ROC and tax filing packages for LLPs, Private Ltd, and Partnerships are tiered based on turnover.
  • Compliance complexity and reporting frequency may lead to variable pricing.

🧾 Winding-Up & Strike-Off Conditions – Company / LLP

  • A company is eligible for strike-off under Section 455 of the Companies Act if:
    • It has not commenced business within one year of incorporation
    • It has remained inactive for two consecutive financial years without applying for dormant status
    • It has no transactions, revenue, assets, or liabilities during this period

Conditions to File STK-2 (Strike Off Form)

  • All pending compliances and filings must be completed before applying.
  • Businesses must show commencement of business to be eligible.
  • All directors must unanimously consent to dissolve the company and sign necessary documents.
  • DIN eKYC and DSC of all directors must remain active until the e-filing status reflects “Processing Under Strike Off”.

Bank Account Closure Advisory

  • If the business expects to receive refunds, subsidies, or chargebacks, it must keep the current account open.
  • After receiving all dues, the account may be closed and strike-off proceedings can be initiated to prevent financial loss.

Mandatory Pre-Closure Formalities

  • The closure of the company’s current account, along with cancellation of registrations such as:
    • GST/Commercial Tax
    • Import Export Code (IEC)
    • Trademarks
    • ESI and PF
      must be completed offline by the authorized director directly with the respective departments.

Ineligibility for Strike-Off

A company is not eligible for strike-off if:

  • It has changed its name or shifted its registered office to another state.
  • It has disposed of assets or rights, unless permitted under specific conditions.
  • It is engaged in ongoing business or activities, which are relevant under the Companies Act for strike-off.
  • It has made an application to the NCLT (Tribunal) for compromise or arrangement, and the matter is still pending.
  • It is undergoing voluntary winding-up, has filed for winding-up under Chapter XX, or is subject to proceedings under the Insolvency and Bankruptcy Code (IBC), 2016.

Note: Companies registered as Section 8 companies, fund companies, subsidiaries, or public limited companies are not eligible to file Form STK-2 for strike-off.

  • OpriyaTrending shall not be held responsible for rejection of Form STK-2 if the client requests filing without meeting the mandatory eligibility requirements.

Additional Charges

  • If the bank statement provided for closure has more than 100 transaction entriesadditional processing fees will apply.
  • The client must bear the following costs:
    • Government filing fee of ₹10,000
    • Stamp paper and notary charges
    • Applicable taxes and penalties
  • For LLPs, an additional government fee of ₹1,000 will apply during strike-off proceedings.

Conditions Specific to LLPs

  • Prices mentioned for LLP strike-off are valid only if the LLP has no assets or liabilities.
  • Any update to the following LLP records requires filing of additional forms with the Ministry of Corporate Affairs (MCA) and will attract extra charges:
    • Change in registered office address
    • Change in email ID
    • Addition or removal of partners
  • LLPs must file Form-3 within 30 days of incorporation to register the LLP agreement.
    Failure to do so will result in penalties, which must be cleared before filing Form-24 for winding-up.

5. Exceptional Circumstances

Refund or cancellation requests will only be considered under the following conditions:

  • Duplicate payment made for the same service
  • Technical error during payment processing (subject to internal verification)

To request a refund under these circumstances:

  • You must email info@opriyatrending.in within 48 hours of the transaction
  • Include full transaction details and a clear explanation
  • Approval of such requests is at the sole discretion of OPRIYA TRENDING Pvt. Ltd.

6. Rights and Responsibilities

  • OPRIYA TRENDING Pvt. Ltd. reserves the right to postpone, cancel, or reschedule any workshop or training due to unforeseen or unavoidable circumstances.
  • In such cases, affected participants will be offered an alternate batch or date at no additional cost.
  • The company reserves full rights concerning:
    • Course structure
    • Delivery format
    • Faculty allocation
    • Issuance of certificates
